General Terms

1.1Agreement#

By accessing, browsing, or using any part of the Marketplace Services, including viewing listings without an account, you agree to be bound by these General Terms. If you create an account, you also agree to Part 2 or Part 3, as applicable, when you register.

1.2Users and Visitors#

In these Terms, "you" means any person or entity that accesses the Marketplace Services, including Hosts, Renters, and visitors who do not hold an account. If you use the Marketplace Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes it.

1.3Changes#

We may modify these Terms at any time. We will notify account holders of material changes by email and by notice on the platform, and we will post the updated Terms on our website with a revised effective date. Your continued use of the Marketplace Services after the effective date of a change constitutes acceptance of the change.

3.1Eligibility#

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to create an account or use the booking, listing, or payment features of the Marketplace Services. You may not use the Marketplace Services if you are prohibited from doing so under applicable law or if we have previously suspended or terminated your access.

3.2Account Information#

If you create an account, you agree to provide truthful, accurate, and complete information, to keep it current, to keep your credentials confidential, and to notify us promptly of any unauthorized use. You are responsible for all activity that occurs under your account.

3.3One Person, One Account#

You may not create an account under a false identity, on behalf of another person without authorization, or for the purpose of accessing content or data for a competing business.

4.1Prohibited Activities#

These prohibitions apply to every person who accesses the Marketplace Services. Whether or not you hold an account, you may not, and may not assist or permit any other person to:

• Use any robot, scraper, crawler, spider, browser automation tool, or other automated means to access the Marketplace Services or to collect, copy, or extract content or data from them, except for search engines indexing public pages in accordance with our robots.txt file
• Copy, compile, aggregate, or extract listings, photos, descriptions, pricing, availability, or information about Hosts or Renters, whether manually or by automated means, to create or supplement any database, directory, or listing service, or for use by a competing business
• Use information obtained through the Marketplace Services to contact Hosts, Renters, or property owners for any purpose unrelated to a booking on our platform, including to recruit them to another platform, service, or staffing agency
• Circumvent, disable, or interfere with rate limits, CAPTCHAs, access controls, login requirements, or other security or technical measures
• Access or attempt to access any portion of the Marketplace Services, account, system, or data you are not authorized to access
• Create or use an account under false pretenses, including to access content or data on behalf of a competitor
• Frame, mirror, or reproduce any portion of the Marketplace Services on another website without our prior written consent
• Post content that is false, misleading, defamatory, discriminatory, or unlawful, or that infringes the rights of others
• Introduce viruses, malware, or other harmful code, or place an unreasonable load on our infrastructure
• Use the Marketplace Services in violation of any applicable law, including fair housing law

4.2Monitoring and Enforcement#

We may monitor use of the Marketplace Services, and we may block, restrict, or rate-limit access from any person, account, device, or network that we reasonably believe is violating this Section. Violation of this Section is a material breach of these Terms, and we may pursue any remedy available at law or in equity, including injunctive relief under Section 11.5.

5.1Our Content#

The Marketplace Services, including their design, software, text, graphics, logos, compilation of listings, and the Reliable Residence name and marks, are owned by or licensed to Reliable Residence and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Marketplace Services to search for, list, book, and manage furnished rentals, in accordance with these Terms. No other right is granted.

5.2Your Content#

You retain ownership of the content you submit, including listing descriptions, photos, reviews, and messages ("User Content"). By submitting User Content, you grant Reliable Residence a worldwide, royalty-free, non-exclusive license to use, reproduce, display, adapt, and distribute it for the purpose of operating, promoting, and improving the Marketplace Services. This license continues for a reasonable period after you remove the content or close your account, to the extent needed to complete pending bookings, comply with law, or maintain records.

5.3Your Responsibility for User Content#

You represent that you have all rights necessary to submit your User Content and to grant the license above, and that it does not violate these Terms or the rights of any third party. We may remove any User Content that we reasonably believe violates these Terms.

5.4Feedback#

If you send us suggestions or feedback, we may use them without restriction or compensation to you.

11.1Informal Resolution#

Before filing any formal claim, you agree to contact us at contact@reliableresidence.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

11.2Governing Law#

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

11.3Arbitration#

Except as provided in Section 11.5, any dispute, claim, or controversy arising from or relating to these Terms or the Marketplace Services shall be resolved by binding arbitration administered by the American Arbitration Association. Arbitration will be conducted under the AAA Consumer Arbitration Rules where you use the Marketplace Services for personal purposes, and under the AAA Commercial Arbitration Rules otherwise. Arbitration will take place in Wisconsin unless the parties agree otherwise. Each party bears its own costs of arbitration, except that Reliable Residence will pay your filing fees for a consumer claim of $10,000 or less.

11.4Class Action Waiver#

YOU AND RELIABLE RESIDENCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11.5Exceptions#

Either party may bring a qualifying claim in small claims court. Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement of intellectual property rights. Reliable Residence may seek injunctive or other equitable relief in court to stop any violation of Section 4, and may bring an action in court to collect amounts owed under Part 2.

11.6Venue#

Any action permitted to proceed in court must be brought in the state or federal courts located in Wisconsin, and you consent to the exclusive jurisdiction and venue of those courts.

11.7Opting Out of Arbitration#

You may opt out of the arbitration and class action waiver provisions of these Terms by sending written notice to contact@reliableresidence.com within 30 days of the date you first accept these Terms. If you held an account before these Terms took effect, the 30-day period runs from the date we notify you that these Terms have taken effect.

Your notice must include your name, the email address associated with your account if you have one, and a clear statement that you wish to opt out of arbitration. A single notice opts you out of Sections 11.3 and 11.4 of these General Terms and of the corresponding arbitration and class action waiver provisions in Parts 2 and 3.

Opting out affects only those provisions and will not affect your account, your standing with Reliable Residence, or your ability to use the Marketplace Services.

12.1Entire Agreement#

Parts 1, 2, and 3 of these Terms, together with our Privacy Policy and any Booking Agreement you enter into, constitute the entire agreement between you and Reliable Residence regarding the Marketplace Services.

12.2Electronic Communications#

You consent to receive communications from us electronically. Electronic communications satisfy any legal requirement that a communication be in writing. Notices to Reliable Residence must be sent to contact@reliableresidence.com or to our address of record.

12.3Severability#

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force and effect.

12.4Waiver#

Our failure to enforce any provision does not waive that or any other provision.

12.5Assignment#

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.6Survival#

Sections 4, 5, 8, 9, 10, and 11, and any accrued obligations, survive termination of these Terms or of your access to the Marketplace Services.
